Karim Lalani

Karim is an experienced senior executive, corporate director and senior legal counsel. His management experience includes working as the Chief Legal Officer and director of a public company, the General Counsel of public and private companies in Canada and the United States, as well as more than twenty years of experience as a practicing attorney at major national law firms and specialized corporate and securities boutiques.

In his most recent position, Karim was part of a management team which took a West Coast based international cannabis company public via an RTO. In this role, Karim was instrumental in structuring, negotiating and implementing the go-public transaction, including a thorough analysis of numerous complex legal, governance and regulatory issues. The company raised approximately $22 million and was listed for trading on the Canadian Securities Exchange. The company subsequently encountered regulatory and liquidity difficulties, and Karim acted as a director and Chief Legal Officer through a restructuring process, which included initiating the first ever Companies Creditors Arrangement Act restructuring of a cannabis company in Canada.

Karim is also a practicing attorney primarily in the areas of Canadian and US corporate finance and securities law, mergers and acquisitions, and corporate and commercial law. He has been involved in acquisitions, financings and reorganizations of various types and sizes, including Canadian, US and cross-border private and public debt and equity offerings, take-over bids and mergers and acquisitions transactions involving local, national and international companies. Karim has advised publicly-traded companies on corporate governance, Sarbanes-Oxley Act compliance, Canadian and U.S. securities disclosure requirements,and stock exchange listings.

Karim was admitted to the British Columbia Bar and the Ontario Bar in 1996, and the Washington State Bar in 2007.
